By becoming a member of the United Cigar Influencer Association ("UCIA"), you acknowledge and agree to the following confidentiality obligations. This agreement is a condition of membership and is enforceable from the date of your admission.


1. Confidential Information Defined

For the purposes of this agreement, "Confidential Information" includes, but is not limited to:

  • Internal discussions, conversations, and deliberations within the UCIA platform, forums, live rooms, group chats, and private messaging channels
  • Personal information of other members, including contact details, business information, and any details shared in confidence within the Association
  • Business opportunities, partnerships, sponsorship details, advertising deals, and any commercial arrangements discussed, negotiated, or facilitated through the UCIA
  • Association strategy, plans, internal policies, financial information, and operational details
  • Advisory Board discussions, membership decisions, and disciplinary proceedings
  • Any information explicitly marked or reasonably understood to be confidential

2. Obligations

As a UCIA member, you agree to:

  • Keep internal discussions internal. Conversations, debates, opinions, and information shared within the UCIA must not be disclosed, forwarded, screenshotted, or communicated to non-members without explicit written consent from the relevant parties and/or the UCIA President.
  • Protect member information. Personal and business information shared by fellow members within the Association is confidential. You must not share, sell, or exploit another member's information without their explicit consent.
  • Safeguard business opportunities. Any business opportunities, deals, sponsorships, or commercial arrangements discussed or shared within the UCIA are strictly confidential. You must not disclose these to competitors, brands, or any external parties without authorization.
  • Exercise reasonable care. Take reasonable precautions to prevent unauthorized disclosure of Confidential Information, including securing devices and accounts used to access the UCIA platform.

3. Exceptions

This agreement does not apply to information that:

  • Is or becomes publicly available through no fault of yours
  • Was known to you prior to its disclosure within the UCIA
  • Is independently developed by you without use of Confidential Information
  • Is required to be disclosed by law, regulation, or court order — in which case you must notify the UCIA promptly and limit disclosure to the minimum required

4. Consequences of Breach

Any breach of this Confidentiality Agreement may result in immediate expulsion from the UCIA. The Association takes confidentiality seriously. Breaches undermine trust among members and damage the community.

In addition to expulsion, Cigar Holdings Ltd. reserves the right to pursue any and all legal remedies available under applicable law, including claims for damages, injunctive relief, and recovery of legal costs.


5. Survival

This Confidentiality Agreement survives termination of your membership, whether you leave voluntarily or are expelled. Your obligations to protect Confidential Information continue indefinitely after your membership ends.

Upon termination of membership, you must:

  • Cease using any Confidential Information for any purpose
  • Delete or destroy any copies of Confidential Information in your possession
  • Not disclose any Confidential Information obtained during your membership

6. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.


7. Acknowledgement

By applying for and accepting membership in the UCIA, you confirm that you have read, understood, and agree to be bound by this Confidentiality Agreement. This agreement forms part of your membership terms alongside the UCIA Constitution, Terms of Service, and Privacy Policy.
