1. Acceptance of Terms
By accessing or using the United Cigar Influencer Association ("UCIA") website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Services.
These Terms constitute a legally binding agreement between you and Cigar Holdings Ltd., a company incorporated in England and Wales, which operates the UCIA as a subsidiary. By using the Services, you represent that you are at least 21 years of age.
2. About the UCIA
The UCIA is a private, for-profit professional association operated as a subsidiary of Cigar Holdings Ltd., a company registered in the United Kingdom. The UCIA is not a public body, charity, or non-profit organization. All decisions regarding the Association's operations, membership, and direction are made at the sole discretion of Cigar Holdings Ltd. and its appointed representatives.
3. Membership
Membership in the UCIA is granted entirely at the discretion of the Association. The UCIA reserves the right to accept, decline, suspend, or revoke membership at any time, for any reason consistent with its values, mission, and Constitution.
Membership does not create any employment, partnership, joint venture, or agency relationship between you and Cigar Holdings Ltd. or the UCIA.
Members must comply with the UCIA Constitution, these Terms, and any additional guidelines published by the Association.
4. User Accounts
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for extended periods.
5. Content Ownership
You retain ownership of any content you submit, post, or display through the Services ("User Content"). By posting User Content, you grant the UCIA a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your User Content solely in connection with operating and promoting the Services.
You represent and warrant that you own or have the necessary rights to post your User Content and that it does not infringe upon the rights of any third party.
The UCIA reserves the right to remove any User Content that violates these Terms, the Constitution, or applicable law.
6. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Post content that is defamatory, obscene, threatening, or hateful
- Harass, bully, intimidate, or discriminate against any person
- Promote or glorify narcotics, illegal drug use, or criminal activity
- Impersonate any person or entity or misrepresent your affiliation
- Distribute spam, malware, or engage in phishing
- Attempt to gain unauthorized access to the Services or other users' accounts
- Use automated systems (bots, scrapers) to access the Services without permission
- Engage in any conduct that brings disrepute to the UCIA or its members
7. Intellectual Property
The UCIA name, logo, trademarks, service marks, and all associated branding (collectively, "UCIA Marks") are the exclusive property of Cigar Holdings Ltd. All rights are reserved.
Members in good standing may use the UCIA member badge and designation in accordance with brand guidelines published by the Association. This licence is revocable and terminates immediately upon termination of membership.
The Services, including their design, text, graphics, interfaces, code, and all other content (excluding User Content), are the property of Cigar Holdings Ltd. and are protected by copyright, trademark, and other intellectual property laws.
8. Limitation of Liability
To the fullest extent permitted by law:
- The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
- Cigar Holdings Ltd., the UCIA, and their directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.
- Our total aggregate liability to you for any claims arising from these Terms or the Services shall not exceed the amount you have paid to the UCIA in the twelve (12) months preceding the claim, or £100, whichever is greater.
- We do not guarantee that the Services will be uninterrupted, secure, or error-free.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Cigar Holdings Ltd., the UCIA, and their directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms or the UCIA Constitution
- Your violation of any applicable law or third-party rights
10. Termination
We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:
- Violation of these Terms or the UCIA Constitution
- Conduct that is harmful to the UCIA, its members, or third parties
- Zero tolerance policy violations as defined in the Constitution
- At the discretion of the President or Cigar Holdings Ltd.
Upon termination, your right to use the Services ceases immediately. You must cease use of all UCIA Marks. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to members via the platform or email with at least fourteen (14) days' notice before they take effect. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with the UCIA Constitution, Privacy Policy, and Confidentiality Agreement, constitute the entire agreement between you and Cigar Holdings Ltd. regarding your use of the Services.
